1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Gravity Auto Sales, a Michigan-based automobile dealership located at 24717 Gratiot Ave, Eastpointe, MI 48021 ("Company," "we," "us," or "our").

3.3 Vehicle Condition

All vehicles are sold "AS-IS" unless otherwise specified in writing. We strongly encourage all buyers to:

4. Vehicle Purchases

4.1 Purchase Agreement

No vehicle purchase is binding until both parties have executed a written purchase agreement. All terms, conditions, and representations must be documented in the purchase agreement to be enforceable.

4.2 Payment Terms

Payment for vehicle purchases may be made by:

• Cash or certified funds
• Approved financing through our lending partners
• Outside financing from your financial institution
• Approved trade-in value

Personal checks are subject to clearance before vehicle delivery. All financing is subject to credit approval and terms established by the lending institution.

4.3 Title and Registration

We will assist with title transfer and registration according to Michigan state law. You are responsible for ensuring all documentation is completed accurately and for paying all applicable taxes, title fees, and registration fees.

4.4 Trade-Ins

Trade-in values are estimates based on vehicle condition, market conditions, and other factors. Final trade-in value is determined upon physical inspection and verification of vehicle condition, title status, and payoff amount (if applicable).

5. Financing

5.1 Financing Applications

By submitting a financing application, you authorize us and our lending partners to:

• Obtain credit reports from consumer reporting agencies
• Verify employment and income information
• Contact references provided
• Share your information with potential lenders

5.2 Credit Decisions

All financing is subject to credit approval by lending institutions. We do not guarantee approval of any financing application. Loan terms, interest rates, and conditions are determined by the lending institution based on creditworthiness and other factors.

5.3 Conditional Delivery

If you take delivery of a vehicle contingent upon financing approval, you agree to return the vehicle immediately upon request if financing is not ultimately approved. You will be responsible for any damage, excessive mileage, or depreciation that occurs during this period.

6. Warranties and Disclaimers

6.1 As-Is Sales

Unless otherwise specified in writing, all vehicles are sold "AS-IS" with all faults. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6.2 Limited Warranties

Some vehicles may be covered by remaining manufacturer warranties or optional extended service contracts. The terms and coverage of any warranty will be provided in writing at the time of sale.

6.3 Website Disclaimer

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAVITY AUTO SALES, ITS OWNERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of use of any vehicle
• Cost of substitute transportation
• Personal injury (except where caused by our gross negligence)
• Property damage (except to the purchased vehicle)
• Any damages arising from reliance on information provided

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE PURCHASE PRICE OF THE VEHICLE OR $5,000, WHICHEVER IS LESS.

8. Indemnification

You agree to indemnify, defend, and hold harmless Gravity Auto Sales, its owners, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services or the Site
• Your violation of these Terms
• Your violation of any third-party rights
• Your provision of false or misleading information
• Your operation of any vehicle purchased from us

9. Intellectual Property

All content on this Site, including text, graphics, logos, images, and software, is the property of Gravity Auto Sales or its content suppliers and is protected by copyright and other intellectual property laws. 10. User Conduct

Any dispute not resolved informally shall be resolved by binding arbitration in Macomb County, Michigan, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

11.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any purchase agreements, constitute the entire agreement between you and Gravity Auto Sales regarding your use of our services.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
